Last Updated: [Date]

This User & Subscription Agreement ("Agreement") is entered into between:

DocResto, operated by [Legal Name / Business Name], having its principal place of business in Pakistan ("DocResto", "we", "us", or "our"); and the individual or legal entity that creates an account, subscribes to a Plan, or otherwise uses the DocResto Services ("Customer", "you", or "your").

By creating an account, accepting a subscription, clicking an acceptance button, signing an order or subscription form, or using the Services, you acknowledge that you have read, understood and agreed to this Agreement, the DocResto Terms & Conditions and Privacy Policy.

If you accept this Agreement on behalf of a company, restaurant, partnership or other organisation, you represent that you have authority to bind that organisation.

"Account" means the account created for a Customer or its authorised users.

"Customer Data" means information, records, transactions, files, documents, restaurant data, employee data, customer information, inventory information, financial information and other data submitted to or generated within the Services on the Customer's behalf.

"Authorised User" means an employee, owner, manager, representative or other person authorised by the Customer to access the Services.

"Third-Party Service" means a service, platform, API, payment provider, messaging provider, POS system, delivery platform, accounting system, cloud service or other external system integrated with or connected to DocResto.

2. Nature of the Service

DocResto is provided as a software-as-a-service platform.

Your Subscription gives you a limited, non-exclusive, non-transferable and revocable right to access and use the Services during the applicable Subscription period.

Your payment for a Subscription does not constitute the purchase, transfer or sale of DocResto or any ownership interest in DocResto.

You do not acquire ownership of:

  • DocResto software;
  • source code;
  • object code;
  • databases or database architecture;
  • application architecture;
  • algorithms;
  • calculations;
  • business logic;
  • workflows;
  • interfaces;
  • designs;
  • documentation;
  • trademarks;
  • logos;
  • branding;
  • proprietary methodologies;
  • reports or report structures;
  • platform technology;
  • APIs;
  • improvements;
  • derivative works; or
  • other DocResto intellectual property.

Except for the limited licence expressly granted under this Agreement, all such rights remain exclusively with DocResto and its licensors.

3. Subscription Licence

Subject to payment of applicable fees and compliance with this Agreement, DocResto grants Customer a limited licence to access and use the Services for Customer's internal restaurant/business operations.

The licence:

  • is limited to the Subscription period;
  • is limited to the selected Plan;
  • may be limited by branch, user, module, transaction volume or other Plan restrictions;
  • may not be sold, sublicensed or transferred;
  • does not permit reverse engineering or copying of the Services; and
  • does not grant access to source code or underlying technology.

Customer may use the Services only for legitimate business purposes and in accordance with applicable laws.

4. Subscription Plans

Available Plans, prices, included modules, branch limits and other commercial conditions are published by DocResto or provided to Customer through an authorised DocResto quotation or subscription confirmation.

Current pricing may be stated in Pakistani Rupees ("PKR") and may exclude applicable taxes unless expressly stated otherwise.

DocResto may introduce additional Plans, modify existing Plans or discontinue Plans.

Any material change affecting an existing paid Subscription will be handled in accordance with the applicable notice and renewal provisions.

5. Payment

Customer agrees to pay all applicable Subscription fees and taxes according to the selected Plan.

Unless otherwise agreed:

  • Subscription fees are payable in advance;
  • fees are based on the selected Plan rather than Customer's actual usage;
  • fees are non-refundable except where required by applicable law or expressly agreed by DocResto; bank charges, payment-provider charges and applicable taxes may be payable by Customer; failure to pay may result in suspension or termination of access.

Customer is responsible for ensuring that payment information provided to DocResto or its payment provider is accurate and authorised.

6. Automatic Renewal

Where automatic renewal is enabled, the Subscription may renew for the applicable renewal period unless cancelled before the renewal date.

DocResto may notify Customer of upcoming renewal where required by applicable law or DocResto's commercial policy.

Any renewal fee will be charged according to the Plan applicable at the time of renewal, subject to applicable notice requirements.

7. Suspension for Non-Payment

If payment is overdue, DocResto may:

  • issue payment reminders;
  • restrict certain functionality;
  • suspend access;
  • place the Account into a grace period; and/or
  • terminate the Subscription if payment remains outstanding.

Suspension does not automatically extinguish outstanding payment obligations.

8. Customer Data

Customer retains its rights in Customer Data.

Nothing in this Agreement transfers ownership of Customer Data to DocResto.

Customer grants DocResto a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, process, format, analyse and otherwise use Customer Data only to the extent reasonably necessary to provide, secure, maintain, support, improve and operate the Services, subject to the Privacy Policy and applicable law.

This licence continues for as long as reasonably necessary to fulfil those purposes, including applicable backup, security, accounting, legal and dispute-resolution requirements.

9. Customer Responsibilities

Customer is responsible for:

  • the accuracy and legality of Customer Data;
  • obtaining required permissions and consents;
  • ensuring Authorised Users are properly authorised;
  • maintaining appropriate user access controls;
  • protecting account credentials;
  • reviewing information entered into the system;
  • maintaining appropriate backups where commercially necessary;
  • complying with applicable laws; and
  • ensuring that its use of integrations is authorised.

Customer must not use DocResto to unlawfully collect, process, disclose or exploit personal or confidential information.

10. Authorised Users

Customer is responsible for all activity performed through its Account by its Authorised Users.

Customer must not share individual credentials where individual accounts are available.

Customer must promptly remove access for former employees or unauthorised persons.

Customer is responsible for configuring roles and permissions appropriately.

11. Integrations

DocResto may connect to or exchange information with Third-Party Services.

By activating an integration, Customer authorises DocResto to exchange the information reasonably necessary to operate that integration.

Customer acknowledges that Third-Party Services are controlled by their respective providers.

DocResto is not responsible for:

  • changes made by third-party providers;
  • outages of Third-Party Services;
  • third-party pricing;
  • third-party policies;
  • incorrect third-party data;
  • API changes;
  • revoked credentials;
  • third-party security incidents; or
  • failures caused by a Third-Party Service.

Where an integration depends on permissions or credentials provided by Customer, Customer is responsible for maintaining those permissions.

12. Third-Party Payment Services

Where DocResto uses a third-party payment processor, payment information may be collected and processed directly by that provider.

DocResto does not intentionally require or store full payment-card credentials where the payment provider is designed to process them directly.

Third-party payment processing remains subject to the provider's own terms and privacy policy.

13. Data Processing

Customer authorises DocResto to process Customer Data as necessary to provide the Services.

Where Customer submits personal data belonging to its employees, customers, suppliers or other individuals, Customer represents that it has an appropriate legal basis and authority to provide that information to DocResto for processing.

Customer is responsible for providing required notices to individuals where applicable.

DocResto may act as a service provider, processor or equivalent data-handling party depending on the applicable law and circumstances.

The parties will cooperate reasonably with legally valid requests concerning personal data.

14. Confidentiality

Each party agrees to protect confidential information received from the other party.

Confidential information does not include information that:

  • is publicly available without breach;
  • was already lawfully known;
  • is independently developed; or
  • is lawfully received from another source without confidentiality obligations.

Disclosure may occur where required by law, regulation, court order or lawful government request.

15. Intellectual Property

DocResto and its licensors retain all rights in the Services and related intellectual property.

Customer may not:

  • copy the Services;
  • reproduce the interface;
  • reverse engineer the platform;
  • extract source code;
  • circumvent technical controls;
  • create competing derivative software from the Services;
  • remove proprietary notices;
  • resell access without written authorisation; or
  • use DocResto branding without permission.

16. Feedback

If Customer provides suggestions, ideas, feature requests, recommendations or feedback, Customer grants DocResto the right to use that feedback without restriction or compensation, provided that DocResto does not thereby disclose Customer's confidential information.

17. Service Availability

DocResto will use commercially reasonable efforts to operate the Services.

However, uninterrupted availability is not guaranteed.

Services may be temporarily unavailable because of:

  • maintenance;
  • upgrades;
  • security incidents;
  • infrastructure failures;
  • internet failures;
  • Third-Party Service failures;
  • force majeure events;
  • legal requirements;
  • cyber incidents; or
  • circumstances outside DocResto's reasonable control.

18. Data Backup and Recovery

DocResto may maintain backups as part of its operational and security practices.

Backups are not a substitute for Customer's own responsibility to maintain copies of legally or commercially critical records.

DocResto does not guarantee that every deleted, corrupted, altered or lost record can be recovered.

19. Termination

Customer may terminate its Subscription in accordance with the applicable cancellation terms.

DocResto may suspend or terminate access where:

  • Customer materially breaches this Agreement;
  • payment remains overdue;
  • Customer unlawfully uses the Services;
  • Customer creates significant security, legal or operational risk;
  • Customer attempts to compromise the Services;
  • required by law; or
  • DocResto discontinues the Services.

Termination does not eliminate accrued payment obligations.

20. Data After Termination

Following termination, Customer may have a limited period to retrieve available Customer Data, subject to DocResto's then-current procedures.

After the applicable retention period, DocResto may delete Customer Data from active systems, subject to:

  • backup cycles;
  • legal obligations;
  • dispute records;
  • accounting requirements;
  • security records; and
  • other legitimate retention requirements.

Data already lawfully retained in backups may remain until those backups expire through normal rotation.

21. No Transfer of Business Ownership

A Subscription, account or payment does not give Customer:

  • shares in DocResto;
  • voting rights;
  • ownership of DocResto;
  • rights to DocResto's intellectual property;
  • rights to DocResto's source code;
  • rights to DocResto's business model;
  • rights to DocResto's database or technology;
  • rights to future versions; or
  • rights to participate in DocResto's revenues or profits.

22. Disclaimer

DocResto provides software and business-management tools.

Information, calculations, forecasts, reports and recommendations generated by the Services are intended to support business decision-making and should be reviewed by Customer.

Customer remains responsible for its business decisions, accounting judgments, tax filings, employment obligations, regulatory compliance and other legal responsibilities.

23. Limitation of Liability

To the maximum extent permitted by applicable law, DocResto will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, business opportunity, goodwill or data.

DocResto's aggregate liability arising from the Services will not exceed the amount actually paid by Customer to DocResto for the Services during the [12] months immediately preceding the event giving rise to the claim, except to the extent such limitation is prohibited by applicable law.

Nothing in this Agreement excludes liability that cannot legally be excluded or limited.

24. Indemnification

To the maximum extent permitted by law, Customer agrees to indemnify and hold DocResto harmless from claims, losses, liabilities, damages and reasonable expenses arising from:

  • Customer's unlawful use of the Services;
  • Customer Data supplied without the necessary rights or permissions;
  • Customer's breach of this Agreement;
  • Customer's violation of another person's rights;
  • Customer's misuse of Third-Party Services; or
  • actions of Authorised Users under Customer's Account.

25. Changes to the Agreement

DocResto may update this Agreement from time to time.

The latest version will be made available through DocResto.

Where required by law, material changes will be communicated through reasonable means.

Continued use after the effective date of an updated Agreement constitutes acceptance to the extent permitted by applicable law.

26. Governing Law

This Agreement is governed by the laws of the Islamic Republic of Pakistan, unless mandatory applicable law requires otherwise.

Subject to applicable law, disputes will be submitted to the competent courts of Pakistan and, where appropriate, the courts having jurisdiction over [Multan, Punjab, Pakistan].

27. Electronic Acceptance

Customer agrees that acceptance through electronic means, including clicking an acceptance button, checking an acceptance box, subscribing to a Plan or otherwise electronically accepting this Agreement, constitutes acceptance of this Agreement.

Electronic records may be retained as evidence of acceptance.

28. Entire Agreement

This Agreement, together with the DocResto Terms & Conditions and Privacy Policy and any applicable Order Form or subscription confirmation, constitutes the agreement between the parties concerning the Services.

If there is a conflict:

  • a signed Order Form may govern specific commercial terms;
  • this Agreement governs the subscription relationship;
  • the Privacy Policy governs privacy and personal-data matters; and
  • the Terms & Conditions govern general use of the Services.

Mandatory applicable law prevails over any conflicting contractual provision.

Additional clause: Right to Refuse, Suspend or Terminate Services

DocResto reserves the right, in its reasonable commercial discretion, to decline an application for service, refuse a new or renewed subscription, or suspend or terminate access to the Services, with or without stating a reason, to the maximum extent permitted by applicable law. Where legally required or expressly promised under a binding order, DocResto will provide applicable notice, honour mandatory refund or data-access rights, and comply with non-discrimination, consumer-protection and other applicable obligations. This discretion does not waive accrued payment obligations or DocResto's confidentiality, security and data-handling commitments. Emergency suspension may occur without prior notice where reasonably necessary to address security, fraud, unlawful use or material operational risk.

This additional clause should be read with, and where necessary incorporated into, the applicable refusal, suspension, termination, refund and data-return provisions above.
